> Character Technologies filed for Chapter 11 in Delaware on Oct. 12 to sell substantially all of its assets. Disney is the stalking-horse bidder for a non-exclusive perpetual license of certain IP and claims, for $20 million plus transition services, subject to higher bids. The platform stays up for now but will be wound down if no buyer keeps it running; the sale is expected to close in late November or early December.

Character.AI has put itself up for sale in bankruptcy court, and its chief executive points to "significant legal, regulatory, and operational headwinds" as the backdrop. **Character Technologies Inc.** said on Monday, October 12, that it has started a voluntary **Chapter 11** case in the US Bankruptcy Court for the District of Delaware to sell all or substantially all of its assets, according to its Business Wire release.

## What Disney is bidding for

Before filing, the company agreed that **Disney Worldwide Services** will serve as stalking-horse bidder for a **non-exclusive perpetual license** of certain Character.AI intellectual property and certain company claims. In exchange, Disney would pay **$20 million** and provide transition services using former Character.AI employees it has hired, the release says. Disney is not bidding for the company itself.

The deal is subject to higher or better offers under section 363 of the Bankruptcy Code. Character.AI has asked the court to approve bidding procedures and expects the sale process to close in late November or early December 2026.

## What happens to the platform

The platform remains up and paid subscriptions stay active, with billing unchanged "for now," the company's blog says. It hopes the sale yields a bid that keeps the service running. "If such a bid is unavailable, however, the platform will be wound down," it writes.

CEO **Colin Adams** said in the release that the company had "taken meaningful steps to sustain and improve its business in the face of significant legal, regulatory, and operational headwinds" over the past year. Character Technologies' bankruptcy petition estimates its assets and liabilities each at between $50 million and $100 million, according to PPC Land, which reviewed the filing.

## The legal backdrop

Character Technologies and its founders face a consumer-protection suit from Kentucky Attorney General Russell Coleman; an unredacted copy was filed in Franklin County Circuit Court, WDRB/WAVE reported on October 11, as [we reported](https://timesof.ai/2026/10/kentucky-ag-character-ai-unredacted-complaint). The company's statements do not tie the bankruptcy to any specific case.
