Oracle Prices Its $20 Billion AI Raise at a Steep Cost: Bond Coupons Up to 8.65% and New Shares 11% Below Friday's Close
Oracle priced $10 billion of senior notes and about $9.9 billion of new shares on November 2, the raise it said at its October 28 investor day would be the last it needs to fund its AI data centre cycle through fiscal 2030. The five bond tranches carry coupons from 7% to 8.65%, and the 86.2 million shares sold at $116, about 11% below Friday's close, The Next Web reported. The stock fell more than 8% on the day.

Oracle got the money it says it needs to finish its AI data centre build, and the price shows how much investors now charge for that bet. On Monday, November 2, Oracle announced the pricing of 86,206,897 new shares at $116 each and $10 billion of senior notes in five fixed-rate tranches due between 2029 and 2046, with coupons from 7.000% to 8.650%. It expects net proceeds of about $9.9 billion from the shares and $10.0 billion from the notes, with both offerings due to close on November 4.
What Oracle sold#
The largest tranche is $2.5 billion of 8.000% notes due 2037; the longest is $1.5 billion at 8.650% due 2046. Oracle's release says the proceeds will be used for general corporate purposes, which may include capital expenditure and debt repayment. The Next Web, citing the pricing term sheet, said a floating-rate tranche in the preliminary offering was dropped, and that the $116 share price was a discount of about 11% to Friday's close of $130.67. It also cited Bloomberg as reporting that demand for the shares exceeded the number on offer.
At its October 28 investor day, Oracle said it would limit new capital-market funding through fiscal 2030 to $20 billion, split evenly between debt and equity. "This $20 billion... is the final amount needed to fund the remainder of this cycle," chief financial officer Hilary Maxson said, as quoted by The Next Web. That came on top of a $20 billion share sale completed between June and August, the outlet said.
How the market took it#
The shares fell more than 8% on Monday, according to CNBC and The Next Web. CNBC quoted a Baird analyst saying the raise was "exactly what they previewed," and noted that S&P downgraded Oracle to BBB-, one notch above high yield, in July. Oracle reported about $125 billion of debt as of August 31, both outlets said.
The money funds capacity for customers including OpenAI, The Next Web reported. Last week Oracle also said it would put ChatGPT and Codex into its software and add Google TPUs and Cerebras to its cloud; the new debt is the bill for building that capacity.
Limits#
- CNBC put Monday's share fall at 8.8% and The Next Web at 8.6%.
- Whether this is Oracle's last raise of the cycle is the company's forecast; it also plans to rely on vendor financing, customer-provided hardware and prepayments, CNBC reported.
- We read Oracle's pricing release but not the SEC term sheet; the dropped floating-rate tranche and the share discount come from The Next Web.
